Terms of Service

1. Scope of Application
These Terms of Service apply to all contracts between Ametrus (pre-registration), 80331 Munich (hereinafter "Ametrus") and its customers regarding the use of the offered Software-as-a-Service (SaaS) platform.
2. Services and Availability
Ametrus offers a cloud-based platform for invoicing, banking, and accounting. As the software is currently in the beta phase, features may be incomplete or subject to change. We strive for high availability but do not guarantee specific uptime during this early stage.
3. Registration and User Obligations
Use of the platform requires the creation of a user account. The customer is obliged to provide accurate and up-to-date information. The customer is also responsible for keeping their access credentials secure and protected from unauthorized third-party access.
The customer agrees not to misuse the services. In particular, sending spam, phishing, or other illegal emails via our systems is strictly prohibited. Ametrus reserves the right to immediately suspend accounts in the event of a violation of these guidelines (Acceptable Use Policy).
4. Fees and Payment Terms
During the beta phase, usage may be offered partially or entirely free of charge. Once paid plans are introduced, the prices stated on our website apply. Payments are due in advance.
5. Limitation of Liability
Ametrus is liable without limitation for intent and gross negligence. For slight negligence, Ametrus is only liable for the breach of essential contractual obligations. Liability is limited to foreseeable damages typical for the contract. For data loss, Ametrus is only liable to the extent of the cost that would have been required for restoration had the customer performed proper data backups.
6. Data Protection
We process personal data in accordance with GDPR requirements. For details, please refer to our Privacy Policy. If Ametrus processes data on behalf of the customer, a separate Data Processing Agreement (DPA) will be concluded.
7. Term, Termination, and Amendments
The contract is concluded for an indefinite period and can be terminated by either party at any time, subject to the notice period specified in the chosen plan. Ametrus reserves the right to amend these Terms as necessary. Users will be notified of changes well in advance.
8. Applicable Law
The law of the Federal Republic of Germany applies. The place of jurisdiction for all disputes is Munich, to the extent permitted by law.
